The Opportunity.
We're excited to add an Assistant General Counsel, Finance & Strategic Transactions to our growing Legal team! Reporting to the General Counsel, you'll support the structuring, negotiation, and execution of the company's project finance facilities, joint ventures, and strategic transactions. Sitting at the intersection of corporate and project finance, this role spans complex infrastructure and construction-related financings, joint venture formation and governance, investor and partner capital arrangements, and related M&A and strategic transactions — working closely with Finance, Project Development, Commercial & Business Development, and external legal counsel.
What You'll Do!
Project & Structured Finance
- Support deal structuring, negotiation, and drafting for project finance facilities and other financings related to complex infrastructure and construction projects.
- Assist with financing arrangements in which investors and partners contribute capital to joint ventures and receive returns, including drafting and reviewing related agreements.
- Collaborate with the Finance team on term sheets, credit agreements, security packages, and closing mechanics.
Joint Ventures & Strategic Transactions
- Support the formation, negotiation, and governance of joint ventures with strategic and utility partners for site development and related projects.
- Draft and negotiate joint venture, partnership, contribution, shareholder, and related governance agreements.
- Collaborate with Regulatory Affairs and external counsel to ensure compliance with OFAC, CFIUS, and FOCD requirements (10 CFR 50.38).
- Support investments and other strategic transactions, including due diligence and transaction documentation.
Corporate & Transactional Support
- Draft, review, and negotiate a range of commercial and corporate agreements supporting transactions and ongoing operations.
- Provide strategic advice on deal structures, terms, and conditions to achieve favorable outcomes and minimize legal risk.
- Coordinate with internal stakeholders (Finance, Project Development, Tax, Operations) and external advisors to facilitate efficient deal execution.
Risk & Compliance
- Identify and assess legal risks associated with financings and transactions, and develop and implement mitigation strategies.
- Support compliance with applicable corporate, securities, and industry-specific regulatory requirements.
What We're Looking for & Who You Are!
You hold a J.D. from an accredited law school and an active license to practice law in at least one U.S. jurisdiction, with 4+ years of experience in project finance, corporate, and/or transactional practice.
You have hands-on experience with:
- Project finance for complex infrastructure or construction projects
- Joint venture formation, governance, and joint venture finance structures, including investor capital contributions and returns
- Excellent drafting and negotiation skills, with strong business acumen and the ability to interact effectively with all levels of the organization
- Independently managing multiple matters in a fast-growing startup environment
